IMPORTANT HIERARCHY OF AGREEMENTS: • Nothing in these general Website Terms shall be construed as overriding, modifying, or superseding the specific commercial, financial, technical, or legal terms contained in an executed SOW, formal proposal, quotation, invoice, or project contract. • In the event of any direct conflict or ambiguity between these Website Terms and an executed SOW or project agreement, the provisions of the executed project agreement shall strictly control and govern with respect to that specific project. • Deliverables, project milestones, acceptance criteria, and specific performance specifications must be explicitly detailed in writing within the applicable SOW.

The successful execution of custom software, AI automation, and web development projects requires timely and active collaboration from the Client. The Client agrees to:

• Timely Provision of Materials: Furnish all necessary content, brand assets, logos, copy, product data, technical specifications, and design guidelines within agreed project timeframes.
• System & Credential Access: Provide necessary administrative access to third-party accounts, APIs, cloud consoles, domain registrars, hosting environments, and repositories required for engineering delivery.
• Verification & Approvals: Promptly review design milestones, staging environments, and technical deliverables, providing consolidated, actionable feedback within the review windows stipulated in the SOW.
• Legal Authority & Lawful Content: Warrant that all materials, data, customer information, text, images, and trademarks provided to RAHATE Enterprises are lawfully owned or licensed by the Client, and that RAHATE's authorized use of such materials will not violate any third-party intellectual property or privacy rights.

Project timelines and milestones are contingent upon prompt client responses. Delays caused by late approvals, missing assets, or delayed third-party credentials may result in commensurate schedule extensions.

Commercial engagements with RAHATE Enterprises are subject to the following financial terms:

• Fee Schedules & Invoicing: Fees, deposit requirements, milestone billings, retainer intervals, and payment schedules are governed by the applicable proposal, quotation, or invoice.
• Payment Due Dates: Unless expressly specified otherwise in a written invoice, all payments are due according to the schedule indicated in the project contract or within the net terms stated on the invoice.
• Taxes & Statutory Duties: All quoted rates are exclusive of applicable government taxes, goods and services tax (GST under Indian statutory law), withholding taxes, or international transaction fees, unless explicitly itemized. The Client is responsible for paying all applicable statutory taxes.
• Overdue Accounts: RAHATE Enterprises reserves the right to suspend active development, staging deployments, technical support, or API services if undisputed invoices remain past due following formal written notification.
• Work Prior to Full Payment: Title to and license of completed custom deliverables pass to the Client only upon receipt of full and final payment as agreed in the project contract.
• Cancellations & Refunds: Project cancellations, milestone refund evaluations, and deposit treatments are governed by the applicable project contract and our Refund & Cancellation Policy.

To protect project timelines and delivery standards, all work is executed against the approved project scope defined in the SOW.

• Included Revisions: The number of iterative review and revision cycles included in a project is explicitly set out in the proposal or SOW (typically during wireframe, design prototype, and staging review phases).
• Out-of-Scope Requests: Any requested additions, structural modifications, supplementary features, new third-party integrations, or material pivots requested after scope sign-off are treated as Change Requests.
• Change Request Procedure: RAHATE Enterprises will evaluate out-of-scope requests and furnish an estimated timeline adjustment and cost quote for client approval prior to undertaking additional engineering work.
• Minor Adjustments: RAHATE Enterprises may, at its sole discretion, accommodate minor textual adjustments without formal change orders, but such courtesy does not waive the requirement for formal approvals on material scope changes.

• Post-Launch Support: Upon production deployment, a designated stabilization period applies if stipulated in the SOW. Subsequent feature development, content updates, server migrations, and third-party API adjustments require an ongoing maintenance contract or separate work order.

For custom software engineering, cloud backends, database architectures, and CRM implementations:

• Specifications & Architecture: All software is engineered based on documented technical architectures, API schemas, and data flow models approved by the Client during the discovery and architecture phases.
• Environmental Dependencies: Software reliability depends on the operating environment, including client-selected cloud providers (e.g., GCP, AWS, Supabase, Vercel), operating systems, database versions, and network configurations. RAHATE is not responsible for failures stemming from client-administered infrastructure changes.
• Defect Remediation: RAHATE Enterprises provides standard defect correction for non-conformities with approved functional specifications during the warranty period specified in the SOW.
• Scope of Maintenance: Routine software maintenance, database backups, dependency security updates, and operating system patches following handover require an active Managed Support Agreement.

RAHATE Enterprises designs, engineers, and integrates artificial intelligence solutions, machine learning pipelines, autonomous workflow automations, and large language model (LLM) interfaces.

• Nature of AI Technologies: AI algorithms and LLMs operate through complex statistical models and probabilistic inference. The Client understands that generative AI systems, natural language processors, and predictive models may occasionally produce unexpected, incomplete, or inaccurate responses ("hallucinations").
• Operational Augmentation: RAHATE's AI solutions are engineered as decision-support, operational acceleration, and workflow automation tools. They are not intended to replace licensed professional judgment (such as medical, legal, auditing, or certified financial advice).
• Client Oversight: The Client retains ultimate responsibility for reviewing and verifying AI-generated outputs, automated communications, and customer-facing responses before operational execution or publication.
• Third-Party AI Infrastructure: Many AI automations rely on foundation model APIs (e.g., OpenAI, Google Gemini, Anthropic). RAHATE Enterprises does not control the upstream uptime, latency, pricing changes, token rate limits, or safety filtering applied by these underlying model providers.

Where our engagement includes search engine optimization (SEO), digital marketing, pay-per-click advertising (Google Ads, Meta Ads), or social media strategy:

• Professional Effort Standard: RAHATE Enterprises applies industry-recognized technical and marketing best practices, ethical white-hat SEO techniques, and data-driven advertising strategies to maximize campaign efficiency and visibility.
• Advertising Spend: Client advertising budgets and media spend are paid directly by the Client to the advertising networks (Google, Meta, LinkedIn) or funded through an agreed client disbursement account. Management fees charged by RAHATE Enterprises are distinct and separate from direct ad network media spend.
• Account Ownership: The Client maintains legal ownership of its advertising, analytics, and social media accounts. RAHATE Enterprises will configure or operate within client-delegated manager access.
• Creative Content Approvals: All promotional copy, campaign creatives, and public advertisements are subject to client review and approval prior to publication.

In delivering comprehensive technology solutions, RAHATE Enterprises frequently integrates with, configures, or relies upon third-party services, including:

• Cloud hosting providers (e.g., Google Cloud Platform, Supabase, Vercel, AWS)
• Third-party AI model providers and LLM APIs (e.g., OpenAI, Google, Anthropic)
• Payment processors and gateways (e.g., Stripe, Razorpay, PayPal)
• Communications and messaging APIs (e.g., Twilio, SendGrid, WhatsApp Business API)
• Search engines, analytics suites, and advertising networks (e.g., Google, Meta, Microsoft)

The Client acknowledges and agrees that: • RAHATE Enterprises does not own, operate, or control these third-party platforms. • We are not liable for any service outages, latency, rate limits, API deprecations, pricing revisions, policy modifications, account bans, or data breaches occurring within third-party environments. • The Client is responsible for maintaining active, compliant accounts and accepting the respective terms of service of all third-party platforms utilized.

Intellectual property rights are structured to provide clarity, protection, and commercial freedom for both parties:

• Pre-Existing RAHATE Technology & Know-How: All pre-existing frameworks, code libraries, development tools, UI component kits, boilerplate templates, proprietary algorithms, database schemas, and engineering know-how developed by RAHATE Enterprises prior to or outside the scope of a specific SOW remain the sole and exclusive intellectual property of RAHATE Enterprises ("Pre-Existing IP").
• Client Deliverables & Custom Code: Subject to full and final payment of all agreed project fees, RAHATE Enterprises assigns to the Client (or grants an irrevocable, perpetual, worldwide license, as specified in the SOW) all rights, title, and interest in the custom design files, unique branding assets, and bespoke source code created specifically and exclusively for the Client under that SOW.
• Reusable Components: To the extent that custom deliverables incorporate Pre-Existing IP or open-source software libraries, RAHATE Enterprises grants the Client a non-exclusive, perpetual, royalty-free license to use, execute, and display such components solely as part of the integrated deliverable.
• Portfolio & Showcase Rights: Unless explicitly prohibited by a signed Non-Disclosure Agreement (NDA) or written contract, RAHATE Enterprises retains the right to display non-confidential project visuals, anonymized technical summaries, and publicly accessible deliverables within its professional portfolio, case studies, and marketing collateral.

The Client retains full ownership of all text, images, trademarks, videos, datasets, customer records, and proprietary materials provided to RAHATE Enterprises ("Client Content").

• License to RAHATE: The Client grants RAHATE Enterprises a limited, non-exclusive, worldwide, royalty-free license to access, store, copy, and modify Client Content solely to the extent necessary to perform the agreed services and fulfill project deliverables.
• Client Warranties: The Client warrants that all Client Content is either owned by the Client or lawfully licensed from third parties, and that its use by RAHATE Enterprises will not infringe upon any copyright, trademark, trade secret, privacy right, or other intellectual property right.
• Indemnity for Client Content: The Client agrees to indemnify, defend, and hold harmless RAHATE Enterprises against any claims, liabilities, damages, or expenses arising from allegations that Client Content violates third-party intellectual property or privacy rights.

Both RAHATE Enterprises and the Client ("Parties") agree to hold in strict confidence all non-public, proprietary information disclosed during business discussions or project execution ("Confidential Information").

• Scope of Confidential Information: Includes technical architectures, source code, system credentials, business operations, pricing models, product roadmaps, client customer data, marketing strategies, and financial records.
• Standard of Care: Each party agrees to use the same degree of care it uses to protect its own confidential information (and no less than reasonable care) to prevent unauthorized disclosure, publication, or dissemination.
• Permitted Disclosures: Confidential Information may only be disclosed to employees, contractors, and professional advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as these Terms.

• External Market Factors: Business outcomes are influenced by economic conditions, client sales execution, customer pricing, product-market fit, competitor actions, and overall market demand.

• WEBSITE VISITORS: FOR CLAIMS ARISING SOLELY OUT OF THE USE OF THE WEBSITE (WITHOUT AN ACTIVE PAID CONTRACT), YOUR EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

• Your violation of any applicable federal, state, national, or international statute, regulation, or consumer protection law.

Termination and service suspension rights operate as follows:

• Effect of Termination: Upon termination of an active project engagement, the Client shall promptly pay RAHATE Enterprises for all services rendered, engineering hours expended, milestones completed, and non-cancellable third-party expenses incurred up to the effective date of termination.

Neither RAHATE Enterprises nor the Client shall be liable for any failure or delay in the performance of their contractual obligations (except for monetary payment obligations) if such failure or delay is caused by circumstances beyond reasonable control ("Force Majeure Event").

Force Majeure Events include, but are not limited to: • Acts of God, floods, fires, earthquakes, cyclones, or extreme natural disasters; • Epidemics, pandemics, public health emergencies, or government-mandated quarantines; • Wars, armed conflicts, hostilities, terrorist acts, riots, or civil unrest; • National, regional, or global telecommunication failures, internet backbone outages, power grid collapses, or major third-party cloud infrastructure blackouts; • Government trade sanctions, embargoes, export controls, or changes in statutory law.

The party affected by a Force Majeure Event shall promptly notify the other party in writing and exercise reasonable commercial efforts to mitigate the delay.

These Terms, their interpretation, and any dispute, controversy, or claim arising out of or relating to them, their subject matter, or your use of the Website shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.
